Terms and Conditions of Use – Manatex.digital Application

1. Purpose and scope

These Terms and Conditions of Use (“Terms”) govern access to and use of the Manatex.digital web application (“Application” or “Service”) provided by:

These Terms apply only to registered users of the Application.
By accessing or using the Application, you accept these Terms. If you do not agree, you must not use the Application.

For information about how we process personal data, please read our Privacy Policy.

2. Access and accounts

You may use the Application only if:

you are at least 18 years old, and
you are acting in a professional context for a company or organisation.

You must:

provide accurate account information,
keep your login and password confidential,
restrict access to your account to authorised people only,
notify us promptly if you suspect any unauthorised use of your account or security incident.

You are responsible for all activity carried out using your login, unless you have informed us in a timely way of a security incident.

You must ensure that access for users who leave your organisation is removed without delay.

3. Description of the Service

The Application is a professional tool that helps companies plan, analyse and manage their international development, including export projects and related market activities.

The exact features, modules and limits available to you depend on the agreement between Manatechs SAS or its authorised partners and your organisation.

The Service is a decision support tool. It does not replace legal, tax, customs, financial or other professional advice, and it does not guarantee commercial results.

The Service can be used:

by companies and organisations directly for their own export and market projects, and
by chambers of commerce, trade promotion organisations, consultants and similar intermediaries to prepare analyses and reports for their own members or clients, under their control and responsibility.

In all cases, users of the Application remain responsible for their decisions and for how they use the outputs.

4. Plans, fees and usage limits

Access rights, modules and usage limits (for example number of users, reports, projects or credits) are defined in the proposal, order form or contract agreed with your organisation.

Unless stated otherwise in that agreement:

you may not transfer or resell your access to another company, except under a specific written reseller or partner agreement with Manatechs SAS,
fees paid are non refundable, except where mandatory law requires otherwise.

If payments are handled by an authorised partner, their commercial conditions apply in addition to these Terms.

You must not try to bypass usage limits, for example credits, rate limits or limits on the number of users, by technical or manual means.

5. Licence and intellectual property

5.1 Licence to use the Application

Subject to these Terms and to payment of applicable fees, Manatechs SAS grants your organisation a limited, non exclusive, non transferable licence to access and use the Application:

for your own internal business purposes, and
where you are a chamber of commerce, trade promotion organisation, consulting firm or similar intermediary, for the purpose of providing advisory and support services to your own members or clients, under your control and responsibility,

for the duration of the agreed period.

You may include outputs of the Application (for example extracts of reports, scores, summaries and scenarios) in your own deliverables, presentations or reports that you provide to your members or clients.
You may not present the Application itself as a separate SaaS product, nor resell access to the Application, unless you have a specific written partner or reseller agreement with Manatechs SAS.

If you allow your members or clients to access the Application directly under your organisation’s account, they must be set up as authorised users and must comply with these Terms. You remain responsible for their use under your account.

5.2 Ownership
Manatechs SAS and its licensors keep all rights, title and interest in and to the Application and its components, including software, algorithms, structures, interfaces, designs, documentation, templates, scoring models, prompts and know how.

This includes, in particular, the way data, questions and reports are organised, calculated and presented inside the Application.

No intellectual property right is transferred to you under these Terms. You receive only a right to use the Service as described here. You must not claim any ownership in the Application, its components or its internal logic.

6. Your content, data and responsibility

You remain the owner of the business data and content that you or your users submit to the Application, such as:

company and product information,
project data, notes and files,
descriptions, questions and instructions entered.

You grant Manatechs SAS a non exclusive, worldwide, royalty free licence to:

host, process and copy this content to operate, secure and maintain the Service,
generate analyses, reports and recommendations from it,
Manatechs SAS may create aggregated and anonymised statistics about the use of the Application (for example number of projects, sectors and countries analysed) for internal analytics, product improvement and reporting. These statistics will not include your name, company name, contact details, or any element that would reasonably allow someone to identify you or your company.

All responsibility for the data and content that you upload, type or share in the Application lies with you and your organisation. In particular, you are solely responsible for:

the accuracy, quality and legality of the data you provide,
having all necessary rights, permissions and legal basis to use and share this data in the Application,
any confidential, strategic or personal information that you decide to enter,
Informing your own clients or members, where required, that you use Manatex.digital as a tool to support your analysis,
respecting all applicable laws when you include information about third parties.

You must not upload to the Application:

financial account numbers or other highly sensitive personal data,
content that you are not allowed to share under law, contract or professional duty.

Manatechs SAS is not responsible if you upload data that you are not allowed to share, or if you include sensitive or confidential information in the Application. You are free to use real or test data. If you choose to input real company or personal data, you do so under your own responsibility.

By using the Application, you represent and warrant that the data you upload complies with applicable law and third party rights, and that Manatechs SAS can process it as described in these Terms and in the Privacy Policy without breaching any obligation owed by you to others.

Indemnity for data and use of the Service

You agree to indemnify and hold harmless Manatechs SAS, its directors, employees and contractors from and against any claim, action, demand, loss, damage, cost or expense (including reasonable legal fees) arising out of or related to:

the data and content that you, your users or your organisation upload or submit to the Application,
your use, or the use by your users, of the outputs generated by the Application, including where such outputs are shared with or used for your own clients, members or customers, and
any breach of these Terms or of applicable law by you, by your users, or by any person acting under your responsibility.

7. Confidentiality and non competition: user obligations

7.1 Confidentiality of Manatex information

During and after your use of the Application, you may have access to non public information about Manatechs SAS and the Service, such as methods, prompts, scoring logic, internal processes, pricing or roadmaps.

You agree to:

treat this information as confidential,
use it only for the normal use of the Application inside your organisation (including, where relevant, for services you provide to your own clients or members),
not disclose it to third parties without written permission from Manatechs SAS, except to your staff and advisers who need to know it and are bound by confidentiality duties.

This obligation continues for five (5) years after the end of your access to the Application.

7.2 Protection of Manatex know how and non competition

You agree that you will not, and will not allow any third party to:

use the Service, or data and reports generated by the Service, to design, train or improve a software or AI service that directly competes with the core functions of Manatex.digital,
systematically copy or reproduce Manatechs workflows, prompts, user interface or scoring methods with the clear intention to replicate the Service as a competing commercial solution,
incorporate any internal logic or structure of the Application into a product or service that you commercialise with third parties,
give direct competitors of Manatechs SAS access to your account for the purpose of analysing or reverse engineering the Service.

You also agree not to:

systematically export, copy or store large volumes of outputs from the Application with the clear purpose of analysing or reproducing the internal logic, scoring or structure of Manatex.digital,
use outputs of the Application to train, feed or fine tune a software or AI model that is designed to offer the same type of service as Manatex.digital, or
combine outputs of the Application with other data in a way that aims to rebuild a similar database or engine for a competing commercial product.

You may use outputs in your own advisory work, reports and presentations for your organisation, members or clients, as long as you do not disclose or reproduce internal methods, prompts or scoring logic in a way that allows a third party to rebuild or clone the Service.

You may, however:

use outputs of the Application in your own advisory work, studies and reports for your members or clients, and
combine them with your own analysis and methods,

as long as you do not disclose or reproduce the internal methods, prompts or scoring logic of Manatex.digital in a way that allows a third party to rebuild the Service.

If we reasonably believe that you are breaching these obligations, we may suspend or terminate access to the Service, without prejudice to any other rights or remedies we may have.

8. Acceptable use and technical restrictions

You must use the Application in a lawful and reasonable way. In particular, you must not:

use the Service to upload or store illegal content,
infringe intellectual property, privacy or other rights of third parties,
send spam, threats, harassment or hate content using outputs of the Service,
promote illegal products or services using outputs of the Service,
upload malware, viruses or other code that could damage systems or data.

Technical restrictions:

You must not:

allow people who are not authorised users to access the Application with your credentials,
reverse engineer, decompile, disassemble or try to extract the source code of the Application or its components, except where allowed by law,
reproduce, modify or create derivative works of the Application, except where allowed by law,
use bots, scrapers or automated tools to extract data or content from the Application, except if this is clearly provided as a feature or agreed in writing,
remove or alter any proprietary notices on the Application,
publish benchmarks or performance tests of the Application without our written consent.

If we reasonably believe that your use of the Application is unlawful, abusive or creates a serious risk, we may suspend or limit access and inform you when possible.

9. AI generated outputs and your responsibilities

The Application uses artificial intelligence to generate some of its outputs, for example analyses, scores, summaries, rankings, company lists and scenario suggestions.

For these tasks, the system may send to AI models only the business information that is necessary, such as company website, product descriptions, HS codes, target markets and project context. We do not send your login name, password or account email for this processing, unless you include such data yourself in the content you submit.

AI models may:

misinterpret your instructions,
produce incomplete, outdated or inaccurate information,
suggest scenarios that are not suitable for your situation.

All outputs from the Application, including AI generated content, are provided as decision support only.

You remain fully responsible for:

reviewing all outputs before using them,
checking important information against official sources, primary data or professional advice, especially for legal, tax, customs or contractual questions,
adapting any AI generated text before sending it to third parties, including your own clients or members,
AI generated content can contain errors and should never be used as the sole basis for important business, legal, financial or contractual decisions
ensuring that your use of outputs respects applicable law and the rights of third parties.

You must not use outputs of the Application:

to create or feed a competing database or service that offers similar functions to Manatex.digital,
in any way that violates data protection laws or other applicable regulations.

Manatechs SAS does not guarantee the accuracy, completeness or suitability of AI generated outputs, and declines responsibility for decisions or actions taken by you, your organisation or any third party based on these outputs without appropriate verification.

10. Third party services

The Application relies on third party services, such as hosting providers, security tools, analytics solutions and external AI infrastructure used to process data and generate outputs. These services are selected with care but are operated by independent companies. Changes in or failures of these services may temporarily affect parts of the Application.

Your use of third party services that are integrated with the Application can be subject to their own terms and policies. Manatechs SAS is not responsible for these third party terms.

If a third party service becomes unavailable or changes in a way that affects the Application, we may modify or remove related features. This will not be considered a breach of these Terms, as long as we take reasonable steps to limit the impact on users.

11. Availability and support

We aim to provide a stable and secure Service, but:

temporary interruptions may occur for maintenance, updates or incidents,
service quality may depend on your internet connection and on external providers.

Unless a specific service level agreement is signed, the Service is provided on a reasonable efforts basis, without a guaranteed uptime.

Support conditions (channels, response times, languages) are defined in the agreement with your organisation. In general, support is provided during working hours in France.

Data storage and report retention

When a report is generated in the Application, we strongly recommend that you download a PDF or printable version and save it in your own systems if you consider it important for your records.

You acknowledge that:
• reports and other outputs may not remain available in your account for an unlimited period,
• we may apply technical limits on storage, and may delete older or inactive reports after a certain time, and
• when you regenerate a report or analysis, the previous version may be replaced or become unavailable.

Manatechs SAS does not guarantee that reports or outputs will remain accessible in your account without interruption or for a specific duration. You are solely responsible for exporting and saving copies of the reports and outputs that you wish to keep. We are not liable for any loss of data or reports if you have not downloaded or saved them in your own systems.

12. Warranties and disclaimers

To the maximum extent permitted by law:

the Application is provided “as is” and “as available”,
we do not guarantee that the Service will be free from errors, interruptions or security incidents,
we do not guarantee that the outputs will be correct, exhaustive, up to date or adapted to all uses.

The Application and its outputs do not constitute legal, tax, customs, financial or investment advice.

You are responsible for checking whether the Service is appropriate for your needs and for seeking independent professional advice where necessary.

13. Limitation of liability

To the maximum extent permitted by law:

Manatechs SAS is not liable for indirect or consequential damages, such as loss of profits, loss of turnover, loss of opportunity, loss of data or damage to reputation,
the total aggregate liability of Manatechs SAS arising out of or in connection with the Service and these Terms, whether in contract, tort or otherwise, is limited to the total amount of fees paid by your organisation to Manatechs SAS for access to the Application during the twelve (12) months immediately before the event giving rise to the claim.

In particular, Manatechs SAS is not liable for:

decisions made on the basis of AI generated outputs or other reports without appropriate human review,
errors or omissions contained in external data sources or public information used by the Application,
consequences of incorrect, incomplete or misleading data that you or other users introduce in the Application.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

14. Term and termination

These Terms apply from the moment you first access the Application and remain in force for as long as your organisation has access to the Service, unless they are replaced by updated Terms.

The commercial duration of access (test period, subscription, pilot and similar) is defined in your agreement with Manatechs SAS or its partners.

Manatechs SAS or your organisation may terminate the contract in accordance with that agreement, in particular in case of serious breach by the other party.

If we confirm or reasonably suspect that you have used the Service in a fraudulent, abusive or clearly unauthorised way, or in violation of the non competition or usage restrictions in these Terms, we may suspend or terminate your access with immediate effect.

On termination or expiry of access:

your user account may be deactivated,
we may retain some data for the periods described in the Privacy Policy,
you remain responsible for all amounts due up to the termination date.

You are encouraged to export, where possible, any data you wish to keep before the end of your access.

15. Changes to these Terms

We may update these Terms from time to time, for example to reflect changes in the Service or in applicable law.

When we make significant changes, we will inform you, for example by email or by a message inside the Application, and indicate the effective date of the new version.

If you continue to use the Application after the effective date, you are considered to have accepted the updated Terms. If you do not agree, you must stop using the Application.

16. Force majeure

Neither party will be liable for any delay or failure to perform its obligations under these Terms (except for payment obligations) if this delay or failure is caused by an event outside its reasonable control. This includes, for example, natural disasters, fire, flood, war, acts of terrorism, riots, strikes, failures of third party providers, widespread power or internet outages, or acts of government.

The affected party must take reasonable steps to limit the effects of the event and to resume performance as soon as it is practical. Any obligation that is not performed because of a force majeure event will be suspended for the duration of that event.

17. Governing law and jurisdiction

These Terms and any dispute arising out of or related to them are governed by French law.

Unless mandatory law provides otherwise, any dispute will be submitted to the competent courts of Paris, France.
